Prividium Evaluation License
By downloading, accessing, or using any Prividium components, you agree to be bound by these terms ("License"). This License is between you and Matter Labs Technologies, Inc., a Delaware corporation ("Matter Labs").
1. LICENSE GRANT
1.1 Grant. Matter Labs grants you a non-exclusive, non-transferable, revocable license to download, evaluate, and use the following Prividium components solely for internal testing and evaluation purposes
1.2 Components. You may download and evaluate:
- Proxy RPC
- Permissioning system
- Private block explorer
- Enterprise Identity Provider integrations
- Administrative dashboards
- SIWE (Sign-in with Ethereum) login flow
- Selective disclosure and compliance modules
- Privacy-preserving transaction processing
- Standard API integrations and documentation
1.3 Restrictions. You may not:
- Use Prividium for any commercial, production, or revenue-generating purposes
- Redistribute, sublicense, resell, or provide hosted services using Prividium to third parties
- Reverse engineer, decompile, or create derivative works
- Remove or alter any proprietary notices
- Share the code or components with other parties
2. TERM AND TERMINATION
2.1 Term. This License is effective upon your first download or use and continues for 180 days unless terminated earlier.
2.2 Termination. Matter Labs may terminate this License at any time if you breach any provision. You may terminate by ceasing all use and deleting all copies.
2.3 Effect of Termination. Upon termination, you must immediately cease using Prividium and delete all copies.
3. FEES
No fees apply during the evaluation period.
4. CONFIDENTIALITY AND INTELLECTUAL PROPERTY
4.1 Confidential Information. All information regarding Prividium, including technical specifications, performance data, and business terms, is confidential.
4.2 Obligations. You agree to:
- Maintain strict confidentiality
- Use confidential information solely for evaluation purposes
- Not disclose to third parties without prior written consent
4.3 Intellectual Property. You acknowledge that Matter Labs retains all rights, title, and interest in Prividium. No rights are granted except as expressly stated herein.
5. DISCLAIMERS AND LIMITATION OF LIABILITY
5.1 AS IS. PRIVIDIUM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.
5.2 LIMITATION. MATTER LABS' TOTAL LIABILITY SHALL NOT EXCEED $1,000. IN NO EVENT SHALL MATTER LABS BE LIABLE FOR INDIRECT, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
6. GENERAL PROVISIONS
6.1 Governing Law. Delaware law governs this License.
6.2 Entire Agreement. This License constitutes the entire agreement between the parties.
